Good safety habits, like any good habit, must be learned and reinforced.
Headwaters Energy Services' Safety First Incentive Award Program (the “Incentive
Program”) is designed to promote a positive and safe working
environment at Headwaters Energy Services' various production facilities by rewarding
safe work practices on the individual, crew and plant levels. The
Incentive Program achieves this through a simple Award Points-based
system in which points are awarded on a monthly basis for safe work
habits and the absence of lost-time and reportable accidents.
The purpose of the Incentive Program is to achieve the following four safety-oriented
objectives:
1. Increase employee, crew and plant safety awareness;
2. Increase employee, crew and plant productivity;
3. Build overall Company morale; and
4. Decrease safety related costs.
The Safety First Incentive Program will allow
Headwaters Energy Services and its employees to
realize these objectives through the following three methods:
a). Promoting and rewarding safe work performance;
b). Utilizing the positive reinforcement power of recognition and rewards; and,
c). Capitalizing upon peer pressure and the individual employee’s drive
for approval from supervisors and co-workers.

Earning
Safety First Incentive Award Points
An employee receives Safety First Incentive Award Points based on his/her individual
safety record and crew safety performance during a calendar month. The employee
can receive 4 points for working 100% safe during a month.
If he/she has
a reportable accident, then the employee will receive only 1 point. Zero
points are awarded for lost-time, multiple reportable accidents or if the
employee receives a Safety Violation
Citation.
Individual
If the employee has no reportable or lost-time accidents, and no Safety Violation
Citations (SVC) issued during the month: 4 Award Points
If the employee has a reportable accident during the month: 1 Award Point
A lost-time accident, multiple reportable accidents during the month, an SVC
issued during the month or a major safety violation occurs during the month:
0 Award Points
Crew
Note: Crews do not earn Award Points, rather, individual crew members earn
additional points for the crew’s safety performance.
If all members of the crew receive the maximum 4 Individual Award Points, then
each crew member will receive an additional: 3 Award Points
If no more than one (1) SVC is issued to crew members during the month and/or
no more than one reportable accident on the crew during the month, then each
crew member will only receive one additional (instead of 3): 1 Award Point
If there are more than two SVCs issued to crew members during the month,
or if there is more than one reportable accident during the month, or if there
is a lost-time accident on the crew during the month, then no additional Award
Points will be given to the crew: 0 Award Points

Lost-Time Recognition Awards
| 1 Year: |
Each new employee who works a full calendar year without a lost-time
accident will receive a
Headwaters Energy Services Safety First belt buckle and a $50.00 Wal-Mart
gift card as a special recognition award. |
| 3 Year: |
Each employee who works three full, consecutive calendar years without
a lost-time accident will receive a $100 Wal-Mart gift card and a small
plaque for achieving the 3 Year No-Lost Time Recognition Award. |
| 5 Year: |
Each employee who works five full, consecutive calendar years without
a lost-time accident will receive a $200 Wal-Mart gift card and a wall
plaque (approx 8.5”x11”) for achieving the 5 year No-Lost Time
Recognition Award |

“No Lost-Time Awards” beyond 5 years have not been determined.
It is anticipated that the next level will be 10 years. In addition, an
employee receives these awards only once during their career with the Company. |

Safety First Incentive Award Program Guidelines
| • |
Award Points earned during the previous month will be given to the employee
in the form of a certificate. |
| • |
Award Point Certificates are non-transferable (you can’t give them
away or sell them to another employee). |
| • |
Each employee is responsible for his/her earned Award Point Certificates.
Headwaters Energy Services will not replace lost, stolen or destroyed Award Point Certificates
(even if your dog eats them). Once you have received the Award Point Certificates
they are your responsibility. |

An employee must work a minimum of 120 hours during the month and have
no unexcused absences in order to qualify for Individual Award Points. |
| • |
Award Points for crew performance are not deducted for crew members who
have worked less than 120 hours per month or for crew members who have
an
unexcused absence. |

An employee who works less than 120 hours during the month, but works
more than 80 hours, and has no unexcused absence will receive Safety Award
Points earned for crew performance. |

A new employee must work six weeks or more during a calendar quarter
to qualify for Plant Award Points. |

Allow 3 - 4 weeks delivery of embroidered or engraved prizes. |

Employees must redeem or forfeit any accumulated Award Points at the
time he/she leaves
Headwaters Energy Services' employ. No points will be credited
to the employee for the month that the employment relationship between
Headwaters Energy Services and the employee is terminated. |

Program without notice. |
Safety
Violation Citation Policy
Discipline is intended to
preserve good and safe working conditions for all employees, as well as to
encourage each employee to be a responsible and conscientious
worker. Minor offenses to
Headwaters Energy Services’ safety guidelines can result in
the issuance of a Safety Violation Citation. A Safety
Violation Citation is
issued for minor offenses at the discretion of supervisory personnel. Once
issued, a Safety Violation Citation will be kept in the employee’s personnel
file for a period of six months from the date of the violation. The Safety
Violation Citation expires six months from the date of the violation and is
permanently removed from the employee’s personnel file. Even if an expired
Safety Violation Citation is inadvertently left in the employee’s personnel
file, the expired Safety Violation Citation is no longer a valid document.
Of note, when a Safety Violation Citation is issued, the employee will be expected
to agree to correct the offending behavior or practice.
Multiple Safety Violations
If a second Safety Violation Citation is issued while an unexpired Safety Violation
Citation remains in the employee’s personnel file, the employee will
receive a one day suspension without pay. A third Safety Violation Citation
issued while two unexpired Safety Violation Citations remain in the employee’s
personnel file may result in additional disciplinary action, up to and including
termination.
Major Safety Violations and/or Multiple Minor Violations
Major safety violations that result in, or might have resulted in serious or
costly consequences or repeated minor offenses for which an employee demonstrates
a lack of responsibility and effort to correct deficiencies may result in immediate
suspension or termination.
Headwaters Energy Services reserves the right to modify this policy at its discretion.
